Yum! Brands has announced the sale of Pizza Hut for a total of $2.7 billion, a decision following a strategic review aimed at optimizing growth across different markets. The acquisition details specify that LongRange Capital will purchase the operations outside mainland China for $1.5 billion, with a potential additional $75 million earn-out by 2030. Meanwhile, Yum China Holdings will acquire the Pizza Hut China operations for $1.2 billion. After accounting for fees and taxes, Yum! expects net proceeds of approximately $2.3 billion, with one-time separation costs around $85 million.
The deals, expected to close by the third quarter of 2026, have already received board approval but await regulatory clearances. Yum! Brands’ CEO, Chris Turner, expressed enthusiasm over the new ownership structures, which he believes will position Pizza Hut for future success, leveraging the guidance of experienced entities. This move also allows Yum! to focus on its technological and talent-driven growth agenda, as the company will continue supporting Pizza Hut Ex-China with its Byte by Yum! platform during the transitional phase.
Alongside this divestiture, Yum! maintains a partnership with Yum China, including financial incentives tied to the growth of KFC China and efforts to expand Taco Bell in mainland China. The company, which operates over 63,000 restaurants worldwide under various banners like KFC, Taco Bell, and others, will no longer report Pizza Hut as a separate division post-transaction.
